Job Title: Corporate Paralegal

Location: Tysons, VA

Industry: Legal Services

Pay: $85,000$90,000 annually (with potential flexibility depending on experience)

Job Description

The Corporate Paralegal will play a key role supporting attorneys in the Corporate Practice Group with general corporate matters and transactional work.

The role is primarily on-site, with the potential to work one remote day per week after several months, at the discretion of management.

Key Responsibilities

  • Prepare and file documents for business entity formation, qualification, dissolution, and withdrawal
  • Draft and manage corporate records, including minutes, resolutions, and consents
  • Maintain and update corporate minute books and organizational charts
  • Support attorneys during corporate transactions such as mergers, acquisitions, asset sales, and equity investments
  • Perform due diligence, coordinate document signatures, compile closing materials, and manage post-closing documentation
  • Assist with state and federal filings, including Secretaries of State and IRS forms (e.g., SS-4, 8832, S-election)
  • Create and format professional documents, spreadsheets, and reports using Microsoft Word and Excel

Qualifications

  • Bachelor's degree required; Paralegal Certificate preferred
  • 58+ years of corporate paralegal experience, preferably in a law firm setting
  • Demonstrated ability to handle transactional matters, entity formation, and regulatory filings
  • Proficiency in Microsoft Office Suite (Word, Excel, PowerPoint); Excel testing may be required
  • Excellent organizational, editing, and grammar skills with high attention to detail
  • Strong communication, problem-solving, and time management skills
  • Ability to prioritize tasks, meet deadlines, and maintain confidentiality in a fast-paced environment

Additional Details

  • Full-time, direct hire opportunity
  • Standard office hours: 8:30 AM5:00 PM, Monday through Friday (37.5-hour workweek)
  • Candidates must be able to pass a background check covering the last 10 years, including employment, education, credit, and criminal history
  • Testing on Microsoft Word formatting and Excel functionality is part of the interview process
